SDC Partner Agreement

This agreement contains the Terms of Service (hereafter “TOS”) that apply to all participants (hereafter “Partners”) in the SDC Partner Program, which includes Affiliates and Advertisers.

1. Membership Terms

You must be at least the age of 21 or the age of majority in your state, locality or jurisdiction in which you reside in order to become a member of our Site and our SDC Partner Program.

You and your bank must be located in one of the countries listed in our Partner Signup form, and be able to receive funds in one of the currencies displayed on this form, in order to be eligible to receive affiliate payments if / when applicable.

1.1 Behavior and Morality.

You agree as an SDC Partner to act as a professional representative of SDC and govern yourself accordingly in all manners and affairs concerning your promotion and affiliation with SDC.

You are not allowed to join as an SDC affiliate if you engage in, or have engaged in, any of the following: unlawful, obscene, or discriminate behavior; non-compliance of minor laws or in any way harmful to minors; misleading or unfair business practices; credit card theft or fraud; spam, phishing, unsolicited mass email, or non-compliance of the CANSPAM Act; or any infringement on any trademark, patent, copyright or other intellectual property rights.

1.2 Enrollment In Partner Program.

To begin the automated enrollment process, you will have to have completed and submitted the Partner signup form on our website. We will notify you by email of your acceptance at the email address you provide upon signup. We reserve the right to reject your application for any reason at our sole discretion.

2. Affiliate Commissions and Tracking.

As an SDC Affiliate, for the lifetime of each paying member you refer, you may be paid a flat rate commission of 50% per new signup and 50% recurring commissions (e.g. for monthly or annual memberships), for as long as your Partner Account remains active, as described within this SDC Partner Agreement.

Membership payments that are made through our Apple or Android App are excluded from commissions and potential Partner payouts. You may be paid on any and all paying members that have signed up through your SDC RMID Affiliate tracking code, which can be found in our SDC Partner Program when you are logged into your SDC account.

No commission will be paid if our system cannot track the visitor to our site.

In order to track new signups acquired from visitors of your website(s) and award you accordingly, the visitor must follow a link on your website(s) that includes your Affiliate code.

Affiliate-generated traffic to SDC can only be tracked at time of signup on SDC, either by entering the Partner code manually or electronically through the designated signup page e.g. https://www.sdc.com/signup.php?ref=XXX (XXX being the Partner’s affiliate code). If any other link, page or method is used, SDC cannot guarantee proper and accurate affiliate tracking. This 50% commission applies only to paying members referred to sdc.com after March 10, 2012; all prior payouts will remain at 35%. In other words, the new Partner Program and agreement is not retroactive in any way.

You agree to refer at least one new paying member through your Partner RMID tracking code per 180 days to keep your SDC Partner account active. If you do not refer at least one new paying member per 180 day cycle, your SDC Partner account will be set to inactive and no commissions will be paid until a new paying member has been referred. If after one year, you have not referred a new paying member to SDC, your account will be terminated and all monies will be forfeited. In case of death of the account holder or when the account holder is a corporation that was terminated or closed, your Partner account will be closed and any monies will be forfeited.

3. Affiliate Payouts.

3.1 Payout Terms.

Payouts occur once every quarter. Your account must have at least a $250 minimum balance in affiliate payouts accumulated, and you must have had at least one new paying member within the last 180 days in order to receive a payout in that pay period.

Payouts will be processed via online banking. No physical checks will be issued at any time, unless in exceptional circumstances at the sole discretion of the SDC administration.

3.2 1099 Tax Forms for Affiliates

Effective 2024, U.S.-based affiliates that have payouts of $600 or more in 2024 will be able to automatically download 1099 tax forms via logging into their Affiliate (Partner) account. Eligible affiliates will receive email notifications from SDC if there is a new tax statement available for them, with instructions on how to access this form. These 1099 forms will be submitted by SDC electronically to the IRS.

4. Contact, Domain, and Banking Information.

As an SDC Partner, whether as an Affiliate or Advertiser, you understand that SDC may send you important emails regarding your account and payments, and you therefore agree to provide a valid email address for an email account that you check on a regular basis to ensure receipt of these emails from SDC.

The "Domain Information" pertaining to your website(s) must be made public and readily available without any restrictions or alterations by your registrar. It should contain up-to-date and precise contact details like your name, address, telephone number, email address, and other information that enables third parties to contact you during regular business hours. It's the Partner’s responsibility to provide clear data on how their Affiliate referral traffic is sent to the sdc.com website.

You understand that you are solely responsible for updating your account information and personal details in our Partner Program and ensuring that your banking and contact information are complete, accurate at all times. You also acknowledge that it is your sole responsibility to regularly check transactions for the bank account associated with your Partner account in order to verify that you have received an Affiliate payment from us. In good faith, SDC will always do our best to reach out to you in the case that we discover an error, issue, or inconsistency with your banking information, contact details, or payments, although the responsibility to ensure the accuracy remains solely yours.

Failure on your behalf to do the above mentioned may result in cases such as, but not limited to: payments that are canceled, unclaimed, and/or returned; payments that are directed to and paid into an incorrect bank account; payments that are reissued to you; and/or the incurrence of bank or payment processor charges or fees that SDC may, at our sole discretion, subtract from the total amount of current and/or future Affiliate commissions owing to you.

SDC will not be held responsible for any payments or claims that are canceled, unclaimed, returned, reissued, or paid into an incorrect bank account due to your providing incomplete, inaccurate, or outdated banking or personal information, or your failure to check the transactions in your bank account or the emails we may send to the email account you provide in our Partner Program.

While SDC will operate in good faith and do our utmost to assist you with canceling, reissuing, verifying, or tracking payments that we have made to you, or claims made by you, we cannot guarantee that we will be able to do so. Any Affiliate payment that may be reissued or reimbursed to you, if applicable, would be at SDC’s discretion and determined on a case-by-case basis. In the case that you do not receive an Affiliate payout, please contact us within 30 calendar days at affiliate@sdc.com. If you do not report that you have not received an Affiliate payout from us within that time frame, we may be unable to assist you with tracking, reissuing, or reimbursing a payment.

5. Emails, Messages, and Deceptive Practices.

You agree to comply with the Can Spam Act and maintain an opt in email list if you are going to promote SDC via email, and agree immediately to remedy any complaints of spam or unsolicited email and fully understand that after an investigation by SDC if you are found to be in violation of the Can Spam Act this is grounds for account termination.

You are strictly prohibited from using any spyware or promotions to advertise our sites, goods, and services.

You may not use the SDC login page and sign up page on your site, nor may you have a login box to SDC on your site, collect user names, passwords, or sign up information. Referred visitors must sign up for membership on sdc.com (as per Section 2 of this agreement) or on one of SDC’s other designated sites only, otherwise no commissions will be paid and your Partner account will be deleted from our system.

You agree to immediately notify us of any complaints you learn of regarding alleged sexually explicit ads for any sites, goods, and services on SDC, or any ads that violate any of our Terms of Service, whether such complaints are regarding your own ads or those of other Partners or members.

6. Anti-Spam Policy

SDC.com prohibits you from engaging in any form of unsolicited commercial emailing (commonly referred to as "spamming") or the sending of emails or messages that are misleading, spoofed, contain misleading subject lines, contain inaccurate or misleading sender or recipient data, or violate applicable State or Federal Statutes. For the purposes of SDC.com definition, spamming also includes similar, abusive behavior in a third party "chat room" or website or the sending of unsolicited or misleading messages to our Users on the SDC platform, via email, or on other messaging services (e.g. WhatsApp, Facebook, etc.).Such behavior could include automatically sending scripted text (and website URLs) disguised as "chat" or conversation into any third party chat room. SDC.com at its own discretion and not as its exclusive remedy, reserves the right to suspend, terminate or by any other method, discipline any Partner without further notice or pay if it is determined that the Partner was spamming or in violation of this provision or in violation of applicable law.

You hereby represent, agree, and warrant that you shall only send commercial emails and/or messages to those who opted-in and consented to receive such commercial e-mail and you further represent, agree, and warrant that as proof of the above you shall maintain, use, and update in real time an "email database" that contains a full audit trail of all persons or entities who opted-in and consented to receive any commercial e-mail advertisements sent by you (or at your request) during the term of this agreement including, the date of the opt-in consent, the manner, date, time, location (URL if by web form), scope, and method of the opt-in consent, the e-mail address (and PII and/or Static IP address if obtained) that opted-in, and all the emails sent to such email address, and requests to opt-out by such e-mail address along with the manner, date, time, location (URL if by web form), scope, and method of such opt-out. You hereby agree to act expeditiously to remedy any and all complaints of spam or unsolicited commercial e-mail, including but not limited to, opting-out such persons from receiving further emails from you. You further agree to fully and immediately respond to any and all requests or queries we make of you requesting information and/or written reports of data located in the Email Database.

7. Member Information.

SDC member information pertains to any information that can be obtained on any of our SDC platforms, websites, or apps, whether said information is made publicly available by SDC or is hidden behind our member login and paywall, including but not limited to: member profiles, photos, and/or videos.

You agree not to link to, display, share, disclose, or in any other way utilize any SDC member information at any time, anywhere, including but not limited to other websites, blogs, third party websites, emails, messages, social media, whether they are owned and/or operated by you or not.

8. SDC Links, Logos, Trademarks, Websites, Usernames, and Proprietary Information.

As an SDC Partner, you are granted a non-exclusive limited license to use the SDC logos and trademarks to promote SDC.com. This license will terminate if or when you are no longer a member of the SDC Partner Program. Upon termination for any reason, you agree to remove all SDC logos, trademarks, or other information that SDC has provided to you at any time, for the purposes of the Partner Program.

As a Partner site, you will receive banner advertisements, button links and or text links to our site. These links may contain SDC’s or its entities' logos and or identifying words. Use of these Links is subject to our Terms of Service. We will be responsible for providing all information necessary to allow you to make appropriate Links from your site to our site. However, we reserve the right to approve and to prohibit the use of any or all Links by you and/or any of our Partners, for any reason.

You agree not to register domain names or social media usernames that infringe on our SDC trademark which may be likely to confuse a web user, such as sdcswinging.com, or any other combination of words that contains SDC therewithin, as these would consist of false representations of SDC.

As a Partner Site, you may display Links throughout your website(s) as you see fit. You may not alter, modify or expand the Links in any way without the express written consent from SDC. Each Links that connect users of your site to our site may not alter the look, feel or functionality of our site. You may not attempt to create a website that utilizes any elements of the SDC brand and website (except where otherwise indicated in our Partner Terms of Service) with the intention of deceiving users to sign up to SDC on your website, or any other website, other than SDC.com.

We may monitor your site at any time without notice to determine if you are in compliance with the terms in this Agreement, as well as our SDC Terms of Service.

9. Record-Keeping Requirements.

As a participant in the SDC Partner Program and User of our Site, you agree to fully comply with all the terms outlined in the 18 U.S. Code § 2257 for Record-Keeping Requirements.

You are also not authorized to use any SDC materials or content derived from SDC or any of our Sites that contain sexually explicit content in any form and for any reason.

10. Partner Agreement Termination.

SDC reserves the right, at its sole and absolute discretion, to refuse membership to any person, or to terminate any member’s membership, without notice, for any reason whatsoever, including, but not limited to, failure of a member to comply with this Partner Agreement or SDC Terms of Service.

A Partner may request to terminate their SDC Partner Account by providing written notice to helpdesk@sdc.com.

11. Assignment of this Agreement.

This Agreement may not be assigned by you without the written consent of the SDC Media LLC. SDC Media LLC. may assign this agreement at any time.

12. Changes to Terms

SDC reserves the right, at our sole discretion, to change, modify, or replace our Partner TOS at any time. SDC will notify Partners of any material change within a reasonable timeframe via email, blog or on our Site. What constitutes a material change will be determined at our sole discretion.

Partners can review the most current version of this agreement at any time by visiting this page. The revised terms and conditions will become effective on the date set forth in our notice, and if Partners use the Service after that date, Partners will agree to accept revised terms. If any change to this TOS is not acceptable to you, please do not use our Service and delete your SDC.com account.

13. Entire Agreement.

Acceptance of these Partner Terms of Service constitutes the entire agreement between the Partner and SDC regarding the use of the Site, which also includes acceptance of the entire agreements of both SDC’s Terms of Service and SDC’s Privacy Policy. By accepting this Partner agreement, you also agree to be bound by the terms outlined within these three aforementioned SDC agreements and policies.
